1. Service Description

Velocity OS™ ("the Service", "VOS") is a business operating system designed to help founders and business owners build, manage, and grow their ventures. The Service is provided by DEFINEXTEND LTD, trading as High-Velocity X ("we", "us", "the Company"), a company registered in England and Wales.

The Service provides AI-powered business strategy tools, advisory features, document generation, financial planning, and operational management capabilities through a web-based platform.

2. Account Terms

To use the Service, you must create an account by registering with a valid email address and password, or by authenticating through Google OAuth. You are responsible for:

• Maintaining the security of your account credentials
• All activity that occurs under your account
• Providing accurate and current information during registration
• Notifying us immediately of any unauthorised use of your account

You must be at least 18 years old to use the Service. By creating an account, you confirm that you meet this age requirement.

3. Subscription and Billing

The Service offers multiple subscription tiers with different feature sets and usage limits. Details of current plans and pricing are available on our website.

• Free tier: Limited access to core features with usage caps on AI-generated content.
• Paid tiers: Enhanced features, higher usage limits, and priority support.
• Billing: Paid subscriptions are billed in advance on a monthly or annual basis.
• Cancellation: You may cancel your subscription at any time. Access continues until the end of your current billing period. No refunds are provided for partial periods.
• Changes: We reserve the right to modify pricing with 30 days notice to existing subscribers.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorised access to any part of the Service
• Use automated tools to scrape, crawl, or extract data from the Service
• Resell, sublicense, or redistribute the Service without written permission
• Generate content that is illegal, defamatory, or promotes violence or discrimination
• Misrepresent AI-generated outputs as human-authored professional advice

5. Intellectual Property

Your content: You retain full ownership of all data, text, documents, and other materials you upload to or create within the Service ("Your Content"). We do not claim ownership of Your Content.

AI-generated outputs: Outputs generated by the Service's AI features based on your inputs are considered Your Content. You may use these outputs for any lawful business purpose.

Our intellectual property: The Service, including its design, code, features, branding, and documentation, is owned by DEFINEXTEND LTD and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service.

6. AI-Generated Content Disclaimer

The Service uses artificial intelligence (powered by Anthropic's Claude) to generate business advice, documents, strategies, and other outputs. You acknowledge and agree that:

• AI-generated outputs are advisory in nature and should not be treated as professional legal, financial, accounting, or tax advice
• You are responsible for reviewing and validating all AI-generated content before acting on it
• AI outputs may contain errors, omissions, or inaccuracies
• You should consult qualified professionals for critical business, legal, or financial decisions
• We do not guarantee the accuracy, completeness, or suitability of any AI-generated content

7. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied
• We do not warrant that the Service will be uninterrupted, error-free, or completely secure
• Our total liability to you for any claims arising from your use of the Service shall not exceed the total fees paid by you in the 12 months preceding the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for any loss of data, revenue, profits, or business opportunities

8. Data Processing

We process your data in accordance with our Privacy Policy. By using the Service, you consent to the processing of your data as described therein.

Your inputs and outputs may be sent to third-party AI providers (currently Anthropic) for processing. These providers process data according to their own terms and do not use your data to train their models.

9. Termination

We may suspend or terminate your account if:

• You breach these Terms of Service
• You engage in prohibited activity as described in Section 4
• Your account has been inactive for more than 12 months (with prior notice)
• We are required to do so by law

Upon termination, you may request an export of your data within 30 days. After this period, your data will be deleted in accordance with our data retention policy.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or in-app notification at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
